ABSTRACT:

In this study we reveal a previously unstudied type of board tie that may help firms manage competitive uncertainty. While firms face regulatory barriers to the use of board interlock ties as a strategy for reducing competition, we suggest that firms can circumvent these barriers by appointing the friends of competitors’ CEOs to their boards. Our theoretical framework addresses the antecedents, maintenance, and performance consequences of such “board-friendship ties” to rivals. Our theory explains (1) why firms form and maintain board-friendship ties, where maintenance involves the reconstitution of broken ties, and (2) how firms form and maintain these ties, by revealing the role of search firms in identifying the friends of rivals’ CEOs. Empirical analyses of large-sample, longitudinal survey and archival data supported our theory.

主 题:Beyond Reputation and Status as Two Market Signals: How do Their Stability and Consistency Affect Firm Market Performance?

主讲嘉宾Prof. Zhiang (John) Lin

Professor of Organization Theory and Strategic Management

Jindal School of Management, University of Texas at Dallas

Abstract:

Reputation and status have been regarded as two salient market signals. While prior research has explored their respective roles, few studies have examined their stability, consistency, while considering the network structure surrounding firms. We argue that the stability of and the consistency between reputation and status can provide additional signaling information to stakeholders and have important and unique implications for firms’ market performance. Their performance impacts, however, may vary depending on whether a firm’s network structure is open or closed. Specifically, the positive impact of reputation stability is reduced while that of status stability is strengthened for firms in closed networks. Moreover, the consistency between reputation and status may bring greater market value when a firm’s network is a closed. Analyzing a sample of firms from four U.S. industries over two decades we find support for these arguments.

ABSTRACT:

We integrate learning theories and strategic leadership research to explain how top executives’ prior experiences with successful breakthrough inventions influence a firm’s future performance in creating breakthrough technologies. Our theory suggests that a firm’s future performance in creating breakthrough inventions is 1) positively influenced by top executives’ experiences with the firm’s prior successful breakthroughs, 2) negatively influenced by their experiences with successful breakthroughs at former employers, and 3) positively influenced by top executives’ exposures to the successes of the firm’s rivals. Moreover, the positive effect of top executives’ experiences with the firm’s prior successes is strengthened by their exposures to former employers’ successes, but weakened by their exposures to the successes of the firm’s rivals. Using a longitudinal data set on firms’ breakthrough inventions in innovation-intensive industries in the U.S. and their top executives’ career histories, we find support for our theoretical expectations.
